Vendor Terms

VENDOR / RESELLER TERMS & CONDITIONS These Vendor Terms & Conditions govern the relationship between DIGITHOOK and its vendors, channel partners, resellers, agencies, and business partners ("Vendor"). 1. PARTNERSHIP STATUS The Vendor operates as an independent business entity and is not an employee, legal representative, or agent of DIGITHOOK. 2. SERVICES DIGITHOOK may provide the Vendor with access to: • WhatsApp Business API Services • Customer Communication Solutions • Automation Tools & Chatbots • Marketing & Messaging Solutions • Technical Support Resources DIGITHOOK reserves the right to modify, discontinue, or update any service without prior notice. 3. CLIENT ACQUISITION The Vendor is responsible for: • Acquiring and managing customers. • Explaining services accurately. • Obtaining necessary customer approvals and consents. • Complying with all applicable laws and regulations. DIGITHOOK shall not be responsible for commitments, guarantees, or representations made by the Vendor to customers. 4. PAYMENT TERMS • All payments must be made in advance unless otherwise agreed. • DIGITHOOK reserves the right to revise pricing at any time. • Vendors are responsible for collecting payments from their customers. • Non-payment may result in suspension of services. 5. REFUND POLICY • All payments made to DIGITHOOK are non-refundable. • Setup fees, subscription charges, WhatsApp conversation charges, and service fees are non-refundable. • Any refund provided shall be solely at DIGITHOOK's discretion. 6. WHATSAPP & META COMPLIANCE The Vendor acknowledges that WhatsApp and Meta independently control: • Business Verification Approval • WhatsApp Account Approval • Template Approval • Messaging Limits • Account Restrictions or Suspension DIGITHOOK does not guarantee approval, delivery rates, sales, leads, or business outcomes. 7. PROHIBITED ACTIVITIES Vendors shall not: • Send spam or unsolicited messages. • Promote illegal products or services. • Violate WhatsApp, Meta, or applicable laws. • Misrepresent DIGITHOOK services. • Use customer data unlawfully. Violation may result in immediate termination. 8. CONFIDENTIALITY The Vendor agrees to keep confidential all non-public information, pricing structures, technical information, customer information, and business strategies shared by DIGITHOOK. 9. INTELLECTUAL PROPERTY All trademarks, software, branding materials, documentation, and content remain the exclusive property of DIGITHOOK. No ownership rights are transferred to the Vendor. 10. LIMITATION OF LIABILITY DIGITHOOK shall not be liable for: • Customer disputes. • Lost profits or business opportunities. • Service interruptions caused by Meta, WhatsApp, hosting providers, or third-party platforms. • Account suspension or bans imposed by Meta or WhatsApp. 11. TERMINATION DIGITHOOK reserves the right to suspend or terminate any Vendor account without notice for: • Violation of these Terms. • Fraudulent activity. • Non-payment. • Policy violations. • Harmful business practices. 12. INDEMNIFICATION The Vendor agrees to indemnify and hold harmless DIGITHOOK from any claims, damages, penalties, liabilities, or legal expenses arising from the Vendor's activities, customer dealings, or violations of applicable laws. 13. GOVERNING LAW These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Jaipur, Rajasthan. 14. MODIFICATIONS DIGITHOOK may revise these Terms at any time. Continued participation in the program shall constitute acceptance of the updated Terms. 15.
